These Terms of Use (“Terms”) govern your access to and use of the KardPH platform, including the website, mobile app, digital payment services, rewards, memberships, and related systems (collectively, the “Services”) operated by Kard Enterprise Corp. (“KardPH”, “we”, “our”, or “us”). By accessing or using the Services, you acknowledge and agree to be bound by these Terms and our Data Privacy Policy.

Eligibility and Account Registration

For Users

You must be at least 18 years old and capable of entering into a legally binding agreement to use KardPH. If you are under 18, you must obtain consent from a parent or legal guardian.

For Merchants

Merchants must provide accurate business registration documents, valid government-issued identification, and bank details for onboarding. KardPH reserves the right to approve or reject merchant applications at its sole discretion.

Description of Services

KardPH provides an all-in-one platform that includes:

• Digital Payment Processing (card, QR, and online transactions)
• Loyalty and Rewards Systems
• Digital Membership Card Services
• E-voucher Issuance and Redemption
• Point-of-Sale (POS) and Analytics Tools

Account Security and Access

You are responsible for maintaining the confidentiality of your account credentials. Any activity conducted through your account is deemed authorized. KardPH is not liable for loss or damage arising from unauthorized access unless caused by gross negligence on our part.

Fees and Charges

Merchants

Merchants are subject to fees including, but not limited to:

• Annual platform fee
• Transaction fees and service charges
• Additional fees for optional features (POS, API integration, etc.)

All fees are non-refundable unless otherwise stated in writing. KardPH reserves the right to update fees with at least 15 days’ notice via email or dashboard notification.

Acceptable Use and Prohibited Activities

You agree not to use KardPH to:

• Engage in fraudulent, illegal, or deceptive activities
• Launder money or finance terrorism
• Distribute malware or spam
• Manipulate data or perform unauthorized system access
• Use the system for prohibited products (e.g., firearms, drugs, pornography, or gambling)

Intellectual Property Rights

All intellectual property rights related to KardPH—including software, brand marks, logos, content, and systems—are the exclusive property of Kard Enterprise Corp. You may not modify, copy, reverse-engineer, or create derivative works without our written consent.

Data Privacy and Security

Your use of the platform is also governed by our Data Privacy Policy, which outlines how we collect, use, and protect your personal and business information. You agree to the terms set forth in the policy and consent to the processing of your data.

Warranties and Disclaimers

KardPH is provided “as is” and “as available.” We do not guarantee:

• Uninterrupted access or availability
• Accuracy or completeness of data
• That defects will be corrected
• Absence of bugs, viruses, or errors

We disclaim all warranties, express or implied, to the fullest extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, KardPH shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits or revenues
• Unauthorized access to your data caused by third-party breaches
• Disruption caused by force majeure or third-party failures

Total liability shall not exceed the amount you have paid to KardPH in the past twelve (12) months.

Termination and Suspension

KardPH reserves the right to suspend or terminate access to your account without notice if:

• You breach any provision of these Terms
• You are involved in suspicious, fraudulent, or illegal activity
• Regulatory authorities require it
• KardPH discontinues the service

In the event of termination, data may be retained for compliance and legal purposes.

Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Republic of the Philippines. Any disputes shall be resolved exclusively by the competent courts of Biñan, Laguna, to the exclusion of all other venues.

Amendments and Notices

We may revise these Terms from time to time. Updates will be posted on our website or sent via email. Continued use of the Services constitutes acceptance of the updated Terms.
